1. Eligibility
RTR Closet Concierge Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States (and the District of Columbia) who are at least eighteen (18) years old at the time of entry. Void where prohibited. Proof of residency and age may be required. Employees and directors of Rent the Runway, Inc. and its subsidiaries, divisions, affiliates, and advertising or promotional agencies or individuals involved with the design, production, execution or distribution of the Sweepstakes and the immediate family and household members of such individuals, are not eligible to enter or win. “Immediate family members” shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not. In order to enter the Sweepstakes or receive the prize, you must fully comply with the Official Rules and, by entering, you represent and warrant that you agree to be bound by these Official Rules and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to this Sweepstakes. The Sweepstakes is governed by these Official Rules and is subject to all applicable federal, state and local laws.

3. Timing
Sweepstakes begins February 20, 2020 at 12:01 a.m. Eastern Time and ends March 5, 2020 at 11:59 p.m. Eastern Time (“Sweepstakes Entry Period”).
4. How to Enter
To enter you must follow Rent the Runway on Instagram (@renttherunway), follow W Hotels on Instagram (@whotels), like the Sweepstakes launch post on the Rent the Runway Instagram, and tag at least one (1) friend as a comment to the Sweepstakes post. You must have your Instagram profile set to public, and your tagged friend must also follow @renttherunway and @whotels. Entrants are not permitted to use another person’s identity or social media account to enter the Sweepstakes. Limit of one (1) entry per person during the Sweepstakes Entry Period.
Entries must be in English. All Entries must be the sole, original work of the entrant. Any Entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, or defamatory, includes any trademarks or logos, violates the proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, is otherwise objectionable, or in any way is incomplete, indecipherable, or otherwise not in full compliance with these Official Rules, will not be accepted and may be disqualified.
By entering the Sweepstakes, on behalf of yourself, your heirs, executors, administrators and legal and personal representatives, you grant the Sponsor the irrevocable, unconditional, exclusive, royalty-free, worldwide, perpetual and fully sublicensable right and license to display, exhibit, transmit, broadcast, telecast, distribute, reproduce, translate, publish, digitize, modify, alter, edit, dub, distort, adapt, add to, subtract from, portray, create derivative works from, exploit, license and otherwise use and permit others to use, any photographs, images, graphics, text, recordings (visual or audiovisual), links, account or profile name, username, profile, information or images, captions, data, files or other content or materials, and your name, likeness, voice, portrayal, persona and biographical information, including without limitation any content that you shared on Instagram as part of your entry in the Sweepstakes or that you may provide in connection with the Prize (collectively, “Content”), in whole or in part, alone or in conjunction with other material, through any and all manners, formats or mediums now known or hereafter devised, for any and all commercial or non-commercial purposes, including, without limitation, for promotional, publicity, public relations, advertising, trade, packaging, business, illustration, artistic or other purposes, at the sole discretion of Sponsor. You understand, acknowledge and agree that Sponsor will have no obligation to make any use whatsoever of any Content. You shall have no right of approval, no claim to any compensation, and no claim arising out of the use, alteration, distortion or illusionary effect or use in any composite form of my name, city, state, photograph and/or likeness, or any other element of the Content. Any communication or information transmitted to Sponsor, including the Content, by electronic mail, in connection with the Promotion or otherwise is and will be treated as non-confidential and nonproprietary.
5. Winner Determination and Notification
Approximately three (3) days after the end of Sweepstakes Entry Period, Sponsor will select one (1) entry for the prize described below in a random drawing of all valid entries received. Odds of winning depend on the number of eligible entries received. POTENTIAL WINNERS WILL BE CONTACTED VIA DIRECT MESSAGE ON INSTAGRAM FROM @RENTTHERUNWEAY AND WILL BE REQUIRED TO RESPOND WITHIN 48 HOURS OF WHEN THE NOTIFICATION WAS SENT. Potential winner must follow the initial prize claim instructions and any subsequent claim instructions, or the prize will be forfeited in its entirety. It is recommended that you confirm your Instagram notification settings are turned on. Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of potential winners are final and binding in all matters related to the Sweepstakes. Failure to respond within 48 hours from the time the Sponsor sent the notification will result in disqualification and an alternate will be selected and notified.
6. POTENTIAL SWEEPSTAKES WINNER IS SUBJECT TO VERIFICATION BY SPONSOR. SPONSOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE ADMINISTRATION, OPERATION, SELECTION OF THE WINNER AND OTHER MATTERS RELATED TO THE SWEEPSTAKES.
7. Verification of Potential Winner
Potential winner will be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where permitted by law) (collectively, the “Affidavit”) by the date specified by Sponsor, or an alternate potential winner may be selected. In the event: (a) potential winner cannot be reached for whatever reason after a reasonable effort has been exerted or the potential winner notification or Affidavit is returned as undeliverable; (b) potential winner declines or cannot accept, receive or use the prize for any reason; (c) of noncompliance with the above or within any of the aforesaid time periods, (d) potential winner is found to be ineligible to enter the Sweepstakes or receive the prize, (e) potential winner cannot or does not comply with the Official Rules, or (f) potential winner fails to fulfill the Affidavit-related obligations, the potential winner shall be disqualified from the Sweepstakes and an alternate potential winner may be selected, at Sponsor’s sole discretion, from among the other eligible entries received. Sponsor reserves the right to modify the notification and Affidavit procedures in connection with the selection of alternate potential winner, if any.
8. Prize
The Prize for the Winner will be, as provided by Rent the Runway: Three (3) months of RTR Unlimited subscription for the Winner and a RTR Closet Concierge experience for two (2) during the stay. Provided by W Hotels (“Prize Provider”), Prize includes two (2) nights at one of the following destinations of Winner’s choice: W South Beach; W Hollywood; W Aspen; or W Washington D.C. and round-trip economy air transportation for two (2) from major airport nearest Winner’s home to the selected destination (Approximate Retail Value of $3,000 for complete Prize).
For Prize: Winner will be solely responsible for all taxes and fees associated with the receipt and use of the prize. The prize is awarded as is. No cash equivalent for the prize. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. All federal, state, and local tax liabilities, as well as any other costs and expenses not specified herein as being awarded are the sole responsibility of the Winner. Winner will be required to complete and return an IRS W-9 form (i.e. Request for Taxpayer Identification Number and Certification). Prize will be awarded only if the Winner fully complies with these Official Rules.
Travel must be confirmed by April 15, 2020 or Prize will be forfeited. The Winner must select travel and trip dates prior to June 15, 2020 or Prize will be forfeited. All fees and expenses (such as security fees, gratuities, luggage fees, meals and ground transportation, and incidental charges) related to acceptance and uses of the Prize not specifically stated herein are the sole responsibility of the Winner. In the event Winner lives within one-hundred fifty (150) miles of selected destination, round-trip ground transportation will be provided in lieu of air transportation and no additional compensation will be provided. Certain restrictions and blackout dates apply depending on destination location selected. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Winner and travel companion must travel together on the same itinerary. Seat selection and timing of trip subject to confirmation of reservations. Major credit card required at check-in to cover any incidental charges. Winner’s travel companion (or Winner as parent/legal guardian of travel companion if he/she is a minor in his/her state of primary residence and Winner’s child/charge) will be required to execute a release of liability prior to travel. If the Winner elects to travel or participate in the Prize with no travel companion, no additional compensation will be awarded for the travel companion portion of Prize. If the Winner elects to travel or participate in Prize with more than one (1) travel companion, such additional travel companion(s) shall be responsible for any and all costs associated with such travel. Prize Winner and travel companion must possess valid travel documents (i.e., a valid government-issued photo ID, etc.) and travel on the same itinerary. Prize Winner and travel companion are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of Sponsor and Prize Provider. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by Prize Provider’s airline carrier of choice as detailed in the passenger ticket contract. Lost, stolen or damaged airline tickets will not be replaced or exchanged. Sponsor shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Prize Winner's and his/her travel companion's transportation and such contracts shall be solely between the Prize Winner, his/her travel companion and such transportation companies.
In the event Prize Winner and/or travel companion engage in behavior during travel that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the travel early, and send that Prize Winner and/or travel companion home (at Winner/travel companion’s own expense) with no further obligations or compensation whatsoever to Prize Winner and/or travel companion (which may, in Sponsor’s sole discretion, result in that Prize Winner’s disqualification from the Sweepstakes and forfeiture of any [and/or all] prize). In the event Prize Winner or travel companion engage in behavior during travel that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects that Prize Winner or travel companion to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Prize winner or travel companion as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF A PRIZE WINNER’S OR TRAVEL COMPANION’S ACCEPTANCE OR USE OF THE PRIZE.
9. Entry Conditions and Release
Each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) defend, indemnify, release and hold harmless the Sponsor, Prize Provider and its respective parent, subsidiary, and affiliated companies, celebrities, and any other person and organization responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance, possession, attendance at, defect in, delivery of, inability to use, use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry. Winner acknowledges that the Prize is awarded as-is without warranty of any kind.
10. Publicity
Except where prohibited or restricted by law, winner’s acceptance of prize constitutes the winner’s agreement and consent for Sponsor and any of its designees to use and/or publish winner’s full name, city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by winner regarding the Sweepstakes or Sponsor, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval.
11. General Conditions
Sponsor and its subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award prize to an entrant, with regard to: (a) entries that contain inaccurate information or do not comply with or violate the Official Rules; (b) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) entrants who have committed fraud or deception in entering or participating in the Sweepstakes or claiming the prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of the winner to accept the prize for any reason; (f) if prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Sponsor’s reasonable control; or (g) any damages, injuries or losses of any kind caused by any prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of prize or resulting from participating in this Sweepstakes or any promotion or prize related activities. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Sweepstakes, or with any Website promoting the Sweepstakes; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Sweepstakes multiple times through the use of multiple email addresses or the use of any robotic or automated devices to submit entries. If Sponsor determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Sweepstakes, Sponsor reserves the right to void the entries at issue, and/or terminate the relevant portion of the Sweepstakes, including the entire Sweepstakes, and/or modify the Sweepstakes and/or award the prize from all eligible entries received as of the termination date.
12. Limitations of Liability
The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Sweepstakes; (d) technical or human error in the administration of the Sweepstakes or the processing of registrations; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of prize. If for any reason an entrant’s registration is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes. No more than the stated prize will be awarded.
13. Disputes
Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or prize awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in New York County, Florida; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

15. Sweepstakes Results
For Winner’s name (available after the Sweepstakes Entry Period) please send a self-addressed stamped envelope to: the “RTR Closet Concierge Sweepstakes” - Winner List, c/o Rent the Runway, Inc., 345 Hudson Street, 6th Floor, New York, NY 10014, Attn: Legal Department. Queries must be postmarked no later than 30 days after the end of the Sweepstakes Entry Period.
This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram. Any and all questions, comments or complaints regarding the Sweepstakes must be directed only to Sponsor and not Instagram.
